Terms of Use
1. Who we are and agreeing to these Terms
Sunra is operated by Second Enlightenment Global Private Limited, a company registered in Singapore (UEN 202530874K), 152 Beach Road, #11-05 Gateway East, Singapore 189721 ("Sunra", "we", "us", "our").
These Terms govern your use of Sunra's website at sunra.ai, Sunra Creative, the Sunra API and any related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms, our Privacy Policy and the policies they refer to. If you do not agree, do not use the Service.
If you use the Service for a company or other organisation, you confirm you can bind it to these Terms, and "you" includes that organisation. If you have a separate written agreement with Sunra (for example an enterprise order form), that agreement prevails where it conflicts with these Terms.
2. Eligibility
You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service. The Service is not directed at anyone under 18 and you may not use it on behalf of a minor.
3. Your account
You need an account to use most of the Service. Keep your details accurate and your login credentials, MCP tokens, CLI credentials and API keys secure. You are responsible for activity under your account. Tell us promptly at support@sunra.ai if you believe your account or a key has been compromised.
4. The Service
4.1 Access. Subject to these Terms and any fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your personal or business purposes.
4.2 Sunra Creative and the Sunra API. The Service has two parts, and each is paid for in its own way:
- Sunra Creative is our app for making images, video, audio and 3D: the web application at sunra.ai, our MCP server for AI apps and agents, and our command-line tool (CLI). It runs on a plan and credits (Section 5).
- The Sunra API is for building Sunra's models into your own software: our APIs and SDKs, API keys, and Developer mode at sunra.ai/dev, where available. It runs on a prepaid balance in US dollars (Section 6).
Sunra Creative credits and the Sunra API balance are separate: credits cannot pay for API requests, and the API balance cannot pay for Sunra Creative. Both parts are covered by these Terms.
4.3 What Sunra Creative is for. Sunra Creative is for making content, for yourself, your organisation or your clients. You may use what you make commercially and at volume, for example for ads, campaigns, films, music videos or large batches of product images. Sunra Creative is not a way to power someone else's service, so you must not:
- sell, rent, share or sublicense your account, plan, credits or access to anyone outside your organisation;
- build or run an app, website, bot, platform or service that lets other people create content through your Sunra Creative account, including by connecting our MCP server or CLI to it as a backend;
- operate the web application with scripts, bots or other automation (our MCP server and CLI are the supported ways for software to use Sunra Creative); or
- create several accounts, or use fake or shared identities, to collect more free or promotional credits or to get around limits.
To put Sunra's models inside your own product, app, platform or service, including one your customers use to make content, use the Sunra API.
4.4 Changes and limits. We regularly improve the Service and may add, change or remove features or models, or set usage limits to keep the Service reliable. We will give reasonable notice of changes that materially reduce what you have paid for.
5. Sunra Creative plans, credits and payment
5.1 Plans. We offer free and paid plans for Sunra Creative. Current plans, prices and the credits each includes are shown at sunra.ai/pricing.
5.2 Credits. Generating content in Sunra Creative uses credits. The number of credits each generation uses is shown before you run it or in our pricing.
- Subscription credits are granted each billing month (including on yearly plans, which receive credits monthly). They refresh every 30 days and do not roll over.
- Credit packs can be bought on paid plans and remain valid for 12 months from purchase.
- Free or promotional credits, including daily free credits, may expire sooner, as stated when they are given.
- Credits have no cash value and cannot be transferred. Credits not used before they expire are lost.
5.3 Payment. You authorise us and our payment processor to charge your payment method for fees and applicable taxes. Prices are in US dollars. Your bank or card provider may convert them to your local currency and charge you a fee for doing so.
5.4 Renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. We will tell you at least 30 days before a price change takes effect for your subscription.
5.5 Cancellation. You can cancel at any time in your account settings. Your plan stays active until the end of the current billing period, and you will not be charged again.
6. The Sunra API
6.1 Organisations and keys. You use the Sunra API through an organisation in Developer mode. Its admins invite members and give each a role (Admin, Developer or Billing), and they create and revoke the organisation's API keys. The organisation is responsible for all requests made with its keys. Keep keys secret and on your servers: never put a key in an app, web page or other code your users can see. Anyone who has a key can make requests charged to your organisation's balance.
6.2 Balance and service fee. API requests are paid from your organisation's prepaid balance, in US dollars. You add funds yourself or with auto top-up. A service fee, currently 5% of the amount added, is added to each payment and shown before you pay.
6.3 Auto top-up. If you turn on auto top-up, you authorise us to charge your organisation's saved card the amount you chose, plus the service fee, whenever the balance falls below the threshold you set, until you turn it off. We charge the default card, or another saved card if the default cannot be charged. If no saved card can be charged, auto top-up turns itself off until you turn it back on.
6.4 Prices and charges. Each request is charged at the price shown for its model and endpoint when you submit it. When you submit a request, we place a pre-authorisation on your balance, so your balance must cover it. When the request finishes, we charge its actual cost, which can depend on the result (for example the size of an image or the length of a video), and release the rest. A request that fails is not charged, and its pre-authorisation is released in full. Prices can change, and a change applies only to requests submitted after it. Each request's billing record shows what it was charged.
6.5 Refunds. Funds added to an API balance, and the service fee, are non-refundable, except where the law requires it or Section 15 applies. Welcome or promotional credit added to an API balance cannot be withdrawn or refunded. Section 7 does not apply to the Sunra API.
6.6 Your products and their users. You may build the Sunra API into your own apps, products, platforms and services, including ones your customers use to make content, and offer them commercially. You are responsible for your products and for how their users use them, and their use must follow Section 10. You must not resell or sublicense access to the Sunra API itself, or your keys, on a stand-alone basis, for example as a pass-through API without your own product around it.
6.7 Limits. We may set rate limits and monitor API use to keep the Service reliable and secure, and we may throttle or suspend keys or organisations whose use is abusive or puts the Service at risk.
7. Refunds for Sunra Creative
This section covers Sunra Creative purchases: plans and credit packs.
7.1 14-day refund. You may request a full refund within 14 days of a purchase if you have not used any credits since that purchase. Daily free credits do not count. Once you have used credits, the purchase cannot be refunded, and we do not refund unused credits. Email support@sunra.ai from, or quoting, the email address you sign in with.
7.2 How refunds work. A refunded subscription ends immediately. The refund is the amount you paid, less the fee our payment processor charged on that payment, which is not returned to us. Section 7.3 is not affected.
7.3 Your legal rights. If you are a consumer in the European Union, the United Kingdom or another country that gives you a right to withdraw from or cancel a purchase, nothing in these Terms limits that right. Refunds made under that right are made in full as the law requires.
7.4 Otherwise. Apart from this Section 7 and where the law requires, Sunra Creative payments are non-refundable.
8. Your content and outputs
8.1 Inputs. You keep all rights in the prompts, images, video, audio, files and other material you submit ("Inputs").
8.2 Outputs. Sunra does not claim ownership of the content the Service generates for you ("Outputs"). As between you and Sunra, to the extent Sunra has any rights in your Outputs, they belong to you. You may use Outputs for any lawful purpose, including commercial purposes, subject to these Terms and the law. AI models can produce similar outputs for different users, so we cannot promise that Outputs are unique or that they are protected by copyright where you live.
8.3 Licence to operate the Service. You give Sunra a worldwide, non-exclusive, royalty-free licence to host, store, process and display your Inputs and Outputs only as needed to provide the Service to you, keep it secure and comply with the law. We may share them with service providers and model providers who help us do that. This licence ends when you delete the content or your account, except for copies we must keep by law or that remain in backups for a limited time.
8.4 Your responsibility. You confirm you have the rights and permissions needed for your Inputs, including the consent of any person whose face, body or voice appears in them, and that your Inputs and your use of Outputs follow these Terms and the law.
8.5 Publishing and sharing. Your projects are private to your account until you share them. If you publish a project, other users can see it on Sunra and remix it. If you share a project's link, anyone who has the link can view the project and copy it into their own account. By publishing or sharing a project, you let those people view, copy and adapt it within the Service, and you give Sunra a licence to display and feature published projects on the Service and in our channels, with credit to you, until you unpublish them. Copies that others have already made may remain after you unpublish a project or stop sharing it.
9. How we handle your content
9.1 No training. Sunra does not use your Inputs or Outputs to train AI models.
9.2 Storage and deletion. We store your content only to provide the Service, for example so you can return to your projects. When you delete content or close your account, we delete it from our active systems within 30 days. Backup copies are removed on a regular cycle.
9.3 Model providers. To generate an Output, we send the relevant Inputs to the model provider that runs the model you choose. We are securing written commitments from model providers not to train on your content and to limit how long they keep it. Our Privacy Policy explains how we handle personal data.
10. Acceptable use
You must not use the Service to:
- infringe anyone's intellectual property, privacy or publicity rights;
- depict a real person without their permission, impersonate anyone, or create deceptive content about real people (for example deepfakes intended to mislead);
- create sexual content involving anyone under 18, or any content that sexualises, exploits or harms minors;
- create or share intimate or sexual images of a real person without their consent;
- create content that is illegal, or that harasses, threatens, defames or promotes violence or hatred;
- produce spam, malware, fraud or election disinformation;
- break the law, including export control and sanctions laws;
- interfere with or attack the Service, get around usage limits or security, or reverse-engineer it except where the law allows; or
- break the usage policies of the model you use, where those are stricter than these Terms.
Where the law requires, you must label AI-generated or manipulated content as such when you publish it.
We may review content to enforce these Terms, and we may remove content or limit, suspend or close accounts that break them.
11. Intimate images and likeness complaints
If content created with the Service shows you, or someone you represent, in an intimate or sexual way without consent, email legal@sunra.ai. Include the link or details we need to find it and a statement that it was made without consent. We will remove the content in valid reports within 48 hours. For other likeness or impersonation complaints, use the same address and we will review them promptly.
12. Copyright complaints
If you believe content on the Service infringes your copyright, send a notice to legal@sunra.ai including:
- your contact details;
- the work you own;
- where the content is;
- a statement that you believe in good faith the use is not authorised;
- a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorised to act for them.
You may send a counter-notice if you believe content was removed by mistake. We close the accounts of repeat infringers.
13. Third-party models and services
The Service gives you access to AI models built by other companies, and you can connect it to third-party tools such as MCP clients. Their own terms may also apply to your use of them. We are not responsible for third-party services you choose to connect.
14. Our rights and feedback
Sunra and its licensors own the Service, including its software, design and brand. These Terms do not give you any right to use our name, logo or trademarks without our written permission. If you send us feedback, we may use it without any obligation to you.
15. Suspension and termination
You may close your account at any time. We may suspend or close your account, or stop providing all or part of the Service to you, if you seriously or repeatedly break these Terms, fail to pay, create legal risk for us or others, or if we stop offering the Service. Where reasonable, we will give notice first. If we stop the Service for reasons other than your breach, we will refund unused prepaid fees on a pro-rata basis, and any unused Sunra API balance. Sections that by their nature should continue after termination will do so.
16. Disclaimers
The Service and Outputs are provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or error-free, or that Outputs will be accurate or suitable for your purpose. Consumer rights that cannot be excluded by law are not affected.
17. Limitation of liability
To the extent the law allows, Sunra is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Sunra's total liability for all claims relating to the Service is limited to the greater of USD 100 or the amount you paid Sunra in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
18. Indemnity
If you use the Service for business purposes, you will defend and compensate Sunra and its affiliates for third-party claims, losses and reasonable legal costs arising from your Inputs, your use of Outputs, products you build on the Sunra API and how their users use them, or your breach of these Terms or the law.
19. Disputes
19.1 Talk to us first. Before starting a formal claim, email legal@sunra.ai with a description of the dispute. We will both try in good faith to resolve it within 60 days.
19.2 Arbitration. If it is not resolved, the dispute will be finally decided by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules in force at the time. The seat of arbitration is Singapore. There will be one arbitrator, the language will be English, and hearings may be held by video. For claims by an individual of USD 10,000 or less, Sunra will pay the SIAC filing and administration fees.
19.3 Individual claims only. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative proceeding, to the extent the law allows.
19.4 Opting out. You may opt out of Sections 19.2 and 19.3 by emailing legal@sunra.ai within 30 days of first accepting these Terms. Include your name and the email address on your account. If you opt out, Section 19.6 applies.
19.5 Exceptions. Either party may bring an individual claim in a small claims court or tribunal with jurisdiction. Either party may also go to court to stop infringement or misuse of intellectual property.
19.6 Courts. Disputes not decided by arbitration go to the courts of Singapore.
19.7 Consumers in the EU, UK and similar countries. If you are a consumer living in the European Union, the United Kingdom, or another country whose law does not allow you to be bound by these dispute terms, Sections 19.2 to 19.4 apply only if you choose them. You may bring proceedings in the courts where you live, and you keep the protection of the mandatory consumer laws of that country.
20. Governing law
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. This does not remove protections that the mandatory laws of your country of residence give you as a consumer.
21. Changes to these Terms
We may update these Terms. For material changes, we will give at least 30 days' notice by email or in the Service before they take effect, except where a change is required by law or needed for security. If you keep using the Service after changes take effect, you accept them. If you do not agree, you can cancel and close your account before they take effect.
22. General
- Entire agreement: these Terms and the policies they refer to are the whole agreement between you and Sunra about the Service.
- Assignment: you may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Severability: if any part is unenforceable, the rest still applies.
- No waiver: not enforcing a term is not a waiver of it.
- No third-party rights: no one else may enforce these Terms, including under the Contracts (Rights of Third Parties) Act 2001 of Singapore.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Notices: we may notify you by email or in the Service.
- Language: if we translate these Terms, the English version prevails.
